By accessing or using Transcript Technology Global Infotech’s identity management software or service offerings, you (“Customer”) signify your acceptance of and agree to be bound by the terms and conditions of this policy. If you do not agree to these terms and conditions, do not access or use the services. If the parties have a fully executed policy that expressly governs orders for Transcript Technology Global Infotech’s Software as a Service, such policy shall supersede this policy.

Introduction

Your privacy is important to us, and we believe it is essential for you to know what personal data we, Transcript Technology Global Infotech Pvt Ltd (“TTGLOBALIT” or “we”), collect from you (and third parties), why we collect it, how we use it, and what rights you may be entitled to as a data subject or consumer. All information in this privacy notice is applicable to you unless otherwise indicated based on your residency status. The term "personal data" refers to any information relating to an identified or identifiable person. We encourage you to read this notice together with any additional and specific information we may provide when collecting or processing your personal data through TTGLOBALIT websites, products, applications, events, or initiatives. (Please note: A separate privacy notice applies to TTGLOBALIT employees.)

Removal of Links from Our Website

Our Privacy Policy is a comprehensive document that explains the procedures in which TTGLOBALIT collects, uses, maintains, and discloses information gathered from users of the website. This privacy policy is equally applied to the website (Esahakara & evyavahaar Application) and all products and services offered by the company.

We recognize your right to confidentiality and are devoted to protecting your privacy. We are the sole owner of the information collected by this website and we do not rent, sell, or loan any information collected by the website to others unless legally required.

We may store and process your information to understand your requirements and to design our products and services to suit your needs. It may also be used to provide you with information concerning our industry news, special events, or features and offers suited for you. If you correspond with us via email, we may collect the information and store it with full confidentiality.

Data Security

Any sensitive information collected from the users of the website is encrypted and transmitted to us in a secure manner. Similarly, we also protect your information offline. Only concerned persons who require the information to perform a particular job are granted access rights to such data. The computers and servers where the data are stored are also kept in a secure environment.

Content and Anti-Spam Policy

TTGLOBALIT is consistently working to keep the website free of content spam, advertisement scams, and other deceptive practices. TTGLOBALIT does not allow or authorize any attempt by a user or an automated system to use its services in a manner that could damage, disable, overburden, or impair any aspect of the services offered on the website. We never endorse content that attempts to trick others for their own financial gain. Content that deliberately tries to mislead users has no place on our website. We have a proper mechanism for tracking and removal of such spam.

Daily Backup Policy for Esahakara CBS

The Daily Backup Policy for Esahakara CBS, outlines measures to preserve and protect critical banking data for all cooperative banks using the system. Backups include data from branches, head offices, and users, and are performed both automatically and manually. An automated system-level backup of the database and transaction logs occurs daily at 11:00 PM IST, with encrypted files stored securely on TTGlobalIT-managed cloud and local servers. Authorized Admin Users can also manually download the latest encrypted .zip backup via the Admin Panel (Dashboard → Daily Backup) between 6:00 PM and 11:59 PM IST the next day. Local backups are retained for 7 days, while cloud backups are stored for 90 days, following an incremental and full backup schedule. Access to the Download Backup section is restricted to Admin roles such as SuperAdmin or BackupManager, with all downloads logged for audit purposes. Recovery requests must be raised via TTGlobalIT Support, with a standard SLA of 4 hours for critical failures. All backup files are secured with AES-256 encryption and comply with RBI IT Guidelines for Urban Cooperative Banks and ISO 27001 standards. The policy is reviewed every six months or upon major system changes, with Admin Users responsible for downloading backups daily, IT Officers for storing them securely, TTGlobalIT Support for monitoring and recovery, and the Audit Team for verifying backup logs.

Definitions

Administrator User means each Customer employee designated by Customer to serve as technical administrator of the SaaS Services on Customer’s behalf. Each Administrator User must complete training and qualification requirements reasonably required by Transcript Technology Global Infotech.

Customer Content means all data and materials provided by Customer to Transcript Technology Global Infotech for use in connection with the SaaS Services, including, without limitation, customer applications, data files, KYC Documents/Data and graphics.

Documentation means the user guides, online help, release notes, training materials and other documentation provided or made available by Transcript Technology Global Infotech to Customer regarding the use or operation of the SaaS Services.

Host means the computer equipment on which the Software is installed, which is owned and operated by Transcript Technology Global Infotech or its subcontractors.

Identity Cube means a unique collection of identity data for an individual that will be granted access to and/or managed by the SaaS Services for the purposes of providing single sign-on, managing passwords or certifying user access. Identity data may be physically or logically maintained in a single repository or in separate physical or logical repositories. Although Identity Cubes for user accounts that have been deactivated may remain in the identity management system, those inactive Identity Cubes will not be included in the number of Identity Cube licenses in use by Customer.

Maintenance Services means the support and maintenance services provided by Transcript Technology Global Infotech to Customer pursuant to this SaaS policy and Exhibit B.

Other Services means all technical and non-technical services performed or delivered by Transcript Technology Global Infotech under this SaaS policy, including, without limitation, implementation services and other professional services, training and education services but excluding the SaaS Services and the Maintenance Services. Other Services will be provided on a time and material basis at such times or during such periods, as may be specified in a Schedule and mutually agreed to by the parties. All Other Services will be provided on a non-work for hire basis.

Schedule is a written document attached to this SaaS policy under Exhibit A or executed separately by Transcript Technology Global Infotech and Customer for the purpose of purchasing SaaS Services under the terms and conditions of this SaaS policy.

Software means the object code version of any software to which Customer is provided access as part of the Service, including any updates or new versions.

SaaS Services refer to the specific Transcript Technology Global Infotech’s internet-accessible service identified in a Schedule that provides use of Transcript Technology Global Infotech’s identity/access management Software that is hosted by Transcript Technology Global Infotech or its services provider and made available to Customer over a network on a term-use basis.

Subscription Term shall mean that period specified in a Schedule during which Customer will have on-line access and use of the Software through Transcript Technology Global Infotech’s SaaS Services. The Subscription Term shall renew for successive 12-month periods unless either party delivers written notice of non-renewal to the other party at least 30 days prior to the expiration of the then-current Subscription Term.

SaaS Services

During the Subscription Term, Customer will receive a nonexclusive, non-assignable, royalty-free, worldwide right to access and use the SaaS Services solely for internal business operations subject to the terms of this policy and up to the number of Identity Cubes documented in the Schedule.

Customer acknowledges that this policy is a service policy and Transcript Technology Global Infotech will not be delivering copies of the Software to Customer as part of the SaaS Services.

Restrictions

Customer shall not, and shall not permit anyone to:

  • Copy or republish the SaaS Services or Software.
  • Make the SaaS Services available to any person other than authorized Identity Cube users.
  • Use or access the SaaS Services to provide service bureau, time-sharing, or other computer hosting services to third parties.
  • Modify or create derivative works based upon the SaaS Services or Documentation.
  • Remove, modify, or obscure any copyright, trademark, or other proprietary notices contained in the software used to provide the SaaS Services or in the Documentation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software used to provide the SaaS Services, except and only to the extent such activity is expressly permitted by applicable law.
  • Access the SaaS Services or use the Documentation in order to build a similar product or competitive product.

Subject to the limited licenses granted herein, Transcript Technology Global Infotech shall own all right, title, and interest in and to the Software, services, Documentation, and other deliverables provided under this SaaS policy, including all modifications, improvements, upgrades, derivative works, and feedback related thereto, along with all intellectual property rights therein. Customer agrees to assign all right, title, and interest it may have in the foregoing to Transcript Technology Global Infotech.

Customer Responsibilities

  • Assistance: Customer shall provide commercially reasonable information and assistance to Transcript Technology Global Infotech to enable delivery of the SaaS Services. Upon request, Customer shall promptly deliver Customer Content in an electronic file format specified and accessible by Transcript Technology Global Infotech. The ability to deliver the SaaS Services may depend upon the accuracy and timeliness of such information and assistance.
  • Compliance with Laws: Customer shall comply with all applicable local, state, national, and foreign laws, including data privacy, international communications, and the transmission of technical or personal data. Customer shall not upload, post, reproduce, or distribute any material protected by intellectual property rights without obtaining the owner’s permission.
  • Unauthorized Use; False Information: Customer shall:
    • Notify Transcript Technology Global Infotech immediately of any unauthorized use of any password or user ID or any other known or suspected breach of security.
    • Report to Transcript Technology Global Infotech immediately and use reasonable efforts to stop any unauthorized use of the SaaS Services that is known or suspected.
    • Not provide false identity information to gain access to or use the SaaS Services.
  • Administrator Access: Customer shall be solely responsible for the acts and omissions of its Administrator Users. Transcript Technology Global Infotech shall not be liable for any loss of data or functionality caused directly or indirectly by the Administrator Users.
  • Customer Input: Customer is solely responsible for collecting, inputting, and updating all Customer Content stored on the Host, and for ensuring that it does not:
    • Include anything that infringes or misappropriates the rights of any third party.
    • Contain anything obscene, defamatory, harassing, offensive, or malicious.
    Customer shall:
    • Notify Transcript Technology Global Infotech immediately of any unauthorized use or security breach.
    • Report to Transcript Technology Global Infotech immediately and use reasonable efforts to stop any unauthorized use of the Service.
    • Not provide false identity information to gain access to or use the Service.
  • License from Customer: Customer grants Transcript Technology Global Infotech a limited, non-exclusive, and non-transferable license to copy, store, configure, perform, display, and transmit Customer Content solely as necessary to provide the SaaS Services.
  • Ownership and Restrictions: Customer retains ownership and intellectual property rights in its Customer Content. Transcript Technology Global Infotech or its licensors retain all ownership and rights to the services, Software, and anything developed and delivered under the policy. Use of third-party technology is governed by the applicable third-party license policy.
  • Suggestions: Transcript Technology Global Infotech shall have a royalty-free, worldwide, irrevocable, perpetual license to use and incorporate into the SaaS Services any suggestions, enhancement requests, recommendations, or feedback provided by Customer, including Users, relating to the operation of the SaaS Services.

Orders and Payment

  • Orders: Customer shall order SaaS Services pursuant to a Schedule. All services acquired by Customer shall be governed exclusively by this SaaS Policy and the applicable Schedule. In the event of a conflict between the terms of a Schedule and this SaaS Policy, the terms of the Schedule shall take precedence.
  • Invoicing and Payment: Unless otherwise provided in the Schedule, Transcript Technology Global Infotech shall invoice Customer for all fees on the Schedule effective date. Customer shall pay all undisputed invoices within 30 days after receiving the invoice. Except as expressly provided otherwise, fees are non-refundable. All fees are stated in Indian Rupees and must be paid in Indian Rupees.
  • Expenses: Customer will reimburse Transcript Technology Global Infotech for reasonable, out-of-pocket travel and related expenses incurred in performing the Other Services. Transcript Technology Global Infotech shall notify Customer prior to incurring such expenses and shall comply with Customer’s travel and expense policy if provided prior to travel.
  • Taxes: Transcript Technology Global Infotech shall bill Customer for applicable taxes as a separate line item on each invoice. Customer shall be responsible for payment of all sales and use taxes, Goods and Service Tax (GST), or similar charges related to Customer’s purchase and use of the services. Customer shall not be liable for taxes based on Transcript Technology Global Infotech’s net income, capital, or corporate franchise.

Term and Termination

  • Term of SaaS Policy: The term of this SaaS Policy shall begin on the Effective Date and shall continue until terminated by either party as outlined in this Section.
  • Termination: Either party may terminate this SaaS Policy immediately upon a material breach by the other party that has not been cured within thirty (30) days after receipt of notice of such breach.
  • Suspension for Non-Payment: Transcript Technology Global Infotech reserves the right to suspend delivery of the SaaS Services if Customer fails to timely pay any undisputed amounts due under this SaaS Policy, but only after notifying Customer of such failure and allowing fifteen (15) days to remedy. Suspension shall not release Customer from payment obligations. Transcript Technology Global Infotech shall not be liable for any liabilities, claims, or expenses arising from suspension due to nonpayment.
  • Suspension for Ongoing Harm: Transcript Technology Global Infotech may suspend delivery of the SaaS Services if Customer or an Identity Cube user’s use of the SaaS Services causes immediate and ongoing harm. In such cases, Transcript Technology Global Infotech will notify Customer immediately, and both parties will work to resolve the issue. No liability shall arise from suspension in accordance with this section. This does not limit rights under the following Section.
  • Effect of Termination:
    • (a) Upon termination or expiration of the Subscription Term, Transcript Technology Global Infotech shall cease providing the SaaS Services and all usage rights shall terminate.
    • (b) If termination is due to a breach by Customer, Customer shall immediately pay all amounts due and those that would have become due during the remaining term. If termination is due to a breach by Transcript Technology Global Infotech, all prepaid amounts for undelivered services shall be refunded.
    Upon termination and upon written request, the receiving party shall return or destroy all tangible Confidential Information and certify such destruction, except that legal counsel may retain one archival copy in case of future disputes.

Service Level Policy

The Service Level SaaS Policy (“SLA”) for the SaaS Services is set forth in Exhibit C hereto. The SLA outlines Customer’s sole remedies regarding the availability or quality of the SaaS Services, including any failure to meet guarantees specified in the SLA.

Confidentiality

Confidentiality: During the term of this SaaS Policy and for 5 years thereafter (perpetually in the case of software), each party shall treat as confidential all Confidential Information of the other party, shall not use such Confidential Information except to exercise its rights and perform its obligations under this SaaS Policy, and shall not disclose such Confidential Information to any third party. Without limiting the foregoing, each party shall use at least the same degree of care, but not less than a reasonable degree of care, it uses to prevent the disclosure of its own confidential information to prevent the disclosure of Confidential Information of the other party. Each party shall promptly notify the other party of any actual or suspected misuse or unauthorized disclosure of the other party’s Confidential Information. Neither party shall reverse engineer, disassemble, or decompile any prototypes, software, or other tangible objects which embody the other party's Confidential Information and which are provided to the party hereunder. Each party may disclose Confidential Information of the other party on a need-to-know basis to its contractors who are subject to confidentiality policies requiring them to maintain such information in confidence and use it only to facilitate the performance of their services on behalf of the receiving party.

Exceptions: Confidential Information excludes information that:

  • (a) Is known publicly at the time of the disclosure or becomes known publicly after disclosure through no fault of the receiving party.
  • (b) Is known to the receiving party, without restriction, at the time of disclosure or becomes known to the receiving party, without restriction, from a source other than the disclosing party not bound by confidentiality obligations to the disclosing party.
  • (c) Is independently developed by the receiving party without use of the Confidential Information as demonstrated by the written records of the receiving party.

The receiving party may disclose Confidential Information of the other party to the extent such disclosure is required by law or order of a court or other governmental authority, provided that the receiving party shall use reasonable efforts to promptly notify the other party prior to such disclosure to enable the disclosing party to seek a protective order or otherwise prevent or restrict such disclosure. Each party may disclose the existence of this SaaS Policy and the relationship of the parties, but agrees that the specific terms of this SaaS Policy will be treated as Confidential Information; provided, however, that each party may disclose the terms of this SaaS Policy to those with a need to know and under a duty of confidentiality such as accountants, lawyers, bankers, and investors.

General Provisions

  • Non-Exclusive Service: SaaS Services are provided on a non-exclusive basis. Transcript Technology Global Infotech may provide the SaaS Services or related technology, including features or functionality developed for Customer, to other parties.
  • `
  • Personal Data: Customer acknowledges that Transcript Technology Global Infotech’s performance of this SaaS Policy may require the processing, transmission, and/or storage of personal data of Customer, its employees, and affiliates. Customer is responsible for compliance with applicable data protection laws, obtaining necessary consents, and making disclosures before including Personal Data in content. Customer remains solely responsible for determining the purposes and means of processing and for any restrictions or requirements in processing special categories of data.
  • Transcript Technology Global Infotech Personal Data Obligations: Transcript Technology Global Infotech will comply with its Services Privacy Policy , which may change without materially reducing protection during a paid period. Transcript Technology Global Infotech may provide SaaS Services from global host locations and/or subcontractors. Data will be processed only as necessary to provide the SaaS Services, and Customer retains ownership of all data.
  • Assignment: Neither party may assign this SaaS Policy without the other’s consent, except to an acquirer of substantially all related business. Subcontractors may be used but do not relieve a party of obligations.
  • Notices: Notices must be in writing and are deemed given five (5) business days after mailing by registered/certified Indian mail, when transmitted by facsimile (with prompt copy by another method), or when delivered personally or by courier.
  • Force Majeure: A party is excused from performance for causes beyond its control, including natural disasters, strikes, riots, terrorism, war, epidemics, communication failures, and power failures.
  • Waiver: No waiver is valid unless in writing and signed. Waiver of one breach does not waive future breaches.
  • Severability: If any term is invalid or unenforceable, it will be reformed to achieve its intent, and the rest of the SaaS Policy remains in force.
  • Entire SaaS Policy: This SaaS Policy (including all schedules and exhibits) is the complete agreement and supersedes all prior communications. Amendments must be in writing and signed by both parties.
  • Survival: Sections 3, 6, and 8 through 12 survive expiration or termination.
  • Publicity: Transcript Technology Global Infotech may include Customer’s name and logo in marketing materials. Press releases will be coordinated with Customer’s communications personnel as necessary.
  • Export Regulations: Customer agrees to comply with all applicable export control laws. No materials will be exported in violation of these laws.
  • No Third-Party Beneficiaries: This SaaS Policy confers no rights on third parties.
  • Independent Contractor: The parties are independent contractors. Neither party is responsible for the other’s acts or omissions.
  • Statistical Information: Transcript Technology Global Infotech may compile anonymous statistics related to performance for service improvement, excluding Customer’s identifiable data.
  • Governing Law: This SaaS Policy is governed by the laws of the State of Texas, excluding conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
  • Compliance with Laws: Transcript Technology Global Infotech will comply with all applicable laws, including those related to data privacy, communications, and transmission of technical/personal data.
  • Dispute Resolution: Except for IP rights disputes, the parties will meet within fifteen (15) days of written request to negotiate disputes in good faith before pursuing other remedies. If unresolved after 15 days, either party may take lawful action.
  • Signatures: This SaaS Policy may be executed in counterparts, each an original. Delivery of a signed counterpart by electronic transmission (including PDF) is valid as a manually signed original.
